  • Payment: Payments are due as outlined in the service agreement or within 30 days from the invoice date unless otherwise specified.

  • Late Payments: A late fee may be charged for payments received after the due date, and we reserve the right to suspend or terminate services for accounts that are overdue.

5. Client Responsibilities

To ensure effective service delivery, clients agree to:

  • Provide accurate, complete, and up-to-date information.

  • Grant access to systems, software, and physical premises necessary for the completion of services.

  • Ensure their systems are in a condition that supports the implementation of our services.

  • Maintain confidentiality of any credentials or sensitive information provided to us.

6. Confidentiality and Data Protection

We value your privacy and are committed to protecting your personal and business data. All confidential information provided by the client will be kept secure and will not be disclosed to third parties without consent, except as required by law. We comply with applicable data protection regulations, such as the GDPR (General Data Protection Regulation).

7. Limitations of Liability

While we strive to provide reliable and effective services, ITProf shall not be held liable for:

  • Any indirect, consequential, or punitive damages arising out of the use of our services.

  • Loss of data, system downtime, or disruption to your business operations.

  • Any failure to provide services if caused by events beyond our control (e.g., natural disasters, internet outages, etc.).

Our total liability for any claim related to our services shall not exceed the total amount paid by the client for the specific service that caused the issue.

8. Intellectual Property

  • Ownership of Work: Unless otherwise agreed in writing, all intellectual property (IP) created as part of the services (e.g., custom software, designs, etc.) will remain the property of ITProf.

  • License to Use: We grant clients a non-exclusive, non-transferable license to use the work delivered under these terms for their internal business purposes.

9. Termination of Services

Either party may terminate the service agreement by providing written notice in accordance with the terms outlined in the agreement. Upon termination:

  • All outstanding fees will remain payable.

  • We will cease providing services.

  • The client is responsible for ensuring that any necessary backups of data are made prior to termination.

10. Support and Maintenance

ITProf will provide support and maintenance for services according to the terms agreed in the service agreement. Support may include:

  • Remote troubleshooting and resolution of IT issues.

  • Updates and patches to software or systems.

  • Ongoing system monitoring.

11. Service Availability

We make every effort to ensure that our services are available and functional 24/7, but there may be occasional interruptions for maintenance or unforeseen events. We will notify clients of scheduled maintenance or known disruptions as early as possible.

12. Indemnification

The client agrees to indemnify and hold harmless ITProf from any claims, damages, losses, or expenses (including legal fees) arising out of:

  • Misuse or unauthorized use of services.

  • Infringement of third-party rights, including intellectual property rights.

  • Violation of applicable laws or regulations by the client.

13. Governing Law
